1. Acceptance of Terms

By accessing and using SuperFolders One ("the Software"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Use, please do not use the Software.

2. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use SuperFolders One on your Mac computer for personal or business use.

2.1 Free Version

• Available for personal and commercial use
• Limited number of documents may apply
• Basic search and analysis features included

2.2 Pro Version

• Unlimited documents
• Advanced features and priority support
• Subject to separate subscription terms

3. Privacy and Data Processing

SuperFolders One is designed with privacy as a core principle:

• Local Processing: By default, all document indexing, search, and AI analysis occur entirely on your Mac. Your files never leave your device.
• No Data Collection: We do not collect, store, or transmit your documents or search queries to our servers in the default configuration.
• Optional Cloud Mode: If you choose to enable optional cloud features, only text fragments (not complete files) may be sent to our servers for processing. This is always opt-in and clearly indicated.

4. Acceptable Use

You agree to use SuperFolders One only for lawful purposes. You must not:

• Use the Software to process illegal content
• Attempt to reverse engineer, decompile, or disassemble the Software
• Remove or modify any proprietary notices or labels
• Use the Software in any way that could damage, disable, or impair our services
• Attempt to gain unauthorized access to any systems or networks
• Redistribute, sell, rent, or lease the Software without permission

5. Intellectual Property

SuperFolders One and all related materials, including but not limited to software code, design, graphics, and documentation, are owned by us and protected by copyright, trademark, and other intellectual property laws.

6. Updates and Modifications

We may provide updates, patches, or new versions of the Software from time to time. These updates may be automatically downloaded and installed. You agree that these Terms apply to all updates and modifications.

7. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or completeness of search results

We do not warrant that the Software will be uninterrupted, error-free, or free from viruses or other harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or use
• Business interruption
• Any damages arising from your use or inability to use the Software

Our total liability shall not exceed the amount you paid for the Software in the 12 months preceding the claim.

9. User Content and Responsibility

You retain all rights to your documents and data processed by SuperFolders One. You are solely responsible for:

• The content you choose to index and search
• Ensuring you have the right to process all documents
• Backing up your data
• Compliance with applicable laws regarding your data

10. System Requirements

SuperFolders One requires:

• macOS 11.0 (Big Sur) or later
• Mac with Apple Silicon or Intel processor
• Minimum 8GB RAM (16GB+ recommended for AI features)
• Sufficient storage for document indexing

11. Subscription and Payment Terms

For Pro version subscribers:

• Subscriptions auto-renew unless cancelled
• You may cancel at any time through your account settings
• Refunds are provided according to our refund policy
• Prices are subject to change with notice

12. Termination

We may terminate or suspend your access to the Software immediately, without prior notice, if you breach these Terms. Upon termination:

• Your license to use the Software ends immediately
• You must delete all copies of the Software
• Your local data and indexes remain on your device (your responsibility to manage)

13. Export Compliance

The Software may be subject to export control laws. You agree to comply with all applicable laws and regulations regarding the export and re-export of the Software.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via:

• Email notification
• In-app notification
• Update to this page with revised "Last Updated" date

Your continued use of the Software after changes constitutes acceptance of the new Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the Software shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation if negotiation fails
3. Binding arbitration if mediation fails

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Software and supersede all prior agreements and understandings.
